Constitution

 

Article One – Name

The name of the organization shall be Sierra Division, Division 5, Pacific Coast Region (PCR), and National Model Railroad Association (NMRA).

 

Article Two – Purpose

The Purpose of the organization shall be to support the objectives and goals of the National Model Railroad Association (NMRA) and the Pacific Coast Region (PCR).

 

Article Three – Membership

Any person whose membership in the Pacific Coast Region (PCR) and the National Model Railroad Association (NMRA) is in good standing and who currently resides within the boundaries of the Sierra Division as described in the By-Laws of the Pacific Coast Region (PCR) shall automatically be a member of the organization

 

Article Four – Officers

The Officers of the Sierra Division shall consist of a Superintendent, a Chief Clerk, a Paymaster and a Director.   Additional Officers may be provided as needed.    The term of office shall be two (2) years

Superintendent – The Superintendent shall be responsible for the conducting of a quarterly meeting of the Division Members and a yearly meeting of the Board of Operations.    The Superintendent shall be responsible for the appointment and conduct of the Chairpersons described in the By-Laws and others which may be required as the need arises.

The Superintendent shall make every effort to attend the Superintendents Meeting normally conducted by the Pacific Coast Region President at the annual convention of the Pacific Coast Region.

Chief Clerk – The Chief Clerk shall be responsible for the proper recording of the proceedings of every meeting of the membership and the Board of Operations.    The Chief Clerk shall maintain these records in an organized and safe manner and shall make them available to any member upon request

Paymaster – The Paymaster shall be responsible for the maintenance of accurate records of the financial transactions of the Division

Division Director – The Sierra Division Director shall be the Division’s representative on the Board of Directors of the Pacific Coast Region.    The Division shall determine a slate of candidates according to the method described in the By-Laws of the Sierra Division for use by the Pacific Coast Region in its biannual election of Directors.    The actual election shall be administered by the Pacific Coast region.  

Article Five – Meetings

A. Regular meetings – Regular meetings of the Sierra Division shall be held on a flexible schedule that conforms to our annual membership dinner / banquet and our annual fund raising event, International Railfair.    Other times for meets will be determined at the final Meet of the year for the following year, with all attempts made to accommodate the most members as to locations and venues and dates.

The locations and times shall be distributed throughout the area covered by the Sierra Division in a manner best suited to the needs of the membership.   The locations and times shall be distributed throughout the area covered by the Sierra Division, via The Short Line newsletter, the official publication of the Sierra Division.

 

B.   Special meetings - A Special Meeting may be called by the Superintendent at any time providing that a notice to the membership is made at least two (2) weeks prior to the date of the Special meeting.

 

C.  Board of Operations Meeting -    The Board of Operations meeting shall be held at least one (1) time during the year.    The locations and times shall be distributed throughout the area covered by the Sierra Division, via The Short Line newsletter, the official publication of the Sierra Division." The date and time to be determined by the members of the board as necessary and not to conflict with any other Sierra Division activity or any activity of an adjoining (Division/Area) with the preferred time for the meeting being late Fall or early Winter. The purpose of this meeting would be to address any Division problems and to plan Division activities.

 

Article Six – Quorum

A quorum at any regularly scheduled meeting shall consist of at least 15 members in good standing in the Division at the time of the meeting and shall include at least one officer.


 

Article Seven – By-Laws

The Sierra Division shall adopt and maintain By-Laws to govern the transaction of business for the Division.    These By-Laws shall be binding to the same degree as provisions of this Constitution.    The By-Laws shall be reviewed by the By-Laws committee of the Pacific Coast Region at least once every four (4) years for conformance.    If inconsistencies are noted, the Division shall make every effort to correct the inconsistencies at the next regularly scheduled membership meeting.  

 

Article Eight – Amendments

A, Constitution – The Constitution of the Sierra Division may be amended at any time by a minimum two-thirds vote of the membership in good standing.    The vote may take place either at a regularly scheduled meeting, a special meeting or by mail ballot

 

B, By-Laws – The By-Laws of the Sierra Division may be amended at any time by a majority vote of the members in good standing either at a regularly scheduled meeting, a special meeting or by mail ballot.    

 

Article Nine – Conflicts

In the event conflicts arise between the Constitution and/or By-Laws of the Sierra Division and those of either the Pacific Coast Region or the National Model Railroad Association, the Constitution and/or By-Laws of the Sierra Division shall be binding until the conflict is successfully resolved.
